only in the name of the Club Program Member or Individual Member placing

the exchange request. Host Accommodations may be used only by the Club

Program Member or Individual Member and accompanying guests, unless a

Guest Certificate is obtained from II. There is a fee for each Confirmation

assigned via a Guest Certificate which must be paid, plus any applicable tax,

when the Guest Certificate is requested. This Guest Certificate fee is in

addition to the exchange fee required when the exchange request is placed.

Notwithstanding the foregoing, Interval Platinum Members are not required to

pay a Guest Certificate fee when requesting a Guest Certificate for their guests.

Failure to secure a Guest Certificate for a guest of the Club Program Member

or Individual Member when the Club Program Member or Individual Member

does not plan to occupy the Host Accommodations (including instances in

which the member has been issued Confirmations for multiple units having

the same travel dates at the same Member Resort) or obtaining Guest

Certificates that are used for commercial purposes may result in termination

of the membership and cancellation of any existing Confirmations, including

those with future travel dates. Guests of Club Program Members or Individual

Members who arrive at a Host Resort without a Guest Certificate will be

denied access to the accommodations until the Club Program Member or

Individual Member has purchased a Guest Certificate from II.

14. The Club Program Member or Individual Member is responsible for

the acts and omissions of the individuals occupying the Host Accommodations,

including any loss or damage to the Host Resort or the Host Accommodations.

Individuals under the age of 21 are not eligible to receive a Guest Certificate.

Additionally, the issuance of a Guest Certificate and the use of the Host

Accommodations are subject to any restrictions or limitations that may be

imposed by the Host Resort.

Club Program Members and Individual

Members are expressly prohibited from selling or exchanging a Guest

Certificate for cash, barter, or other consideration. In the event that any of

the above terms are breached, II reserves the right to revoke the Guest

Certificate and cancel the underlying Confirmation.

15. By submitting an exchange request, each Club Program Member or

Individual Member represents and warrants that he or she has the necessary

Points or, where applicable, the right to use or assign the use of the Week

being relinquished, and that all maintenance fees and taxes, or similar

charges, have been paid through the requested travel dates.

Exchange

privileges may be denied if all such maintenance fee assessments or similar

charges with MORI or the MVC Destinations Program have not been paid.

II reserves the right to cancel any previously issued Confirmation if it

subsequently receives notice that a Club Program Member or Individual

Member has not paid any outstanding fee, assessment, or other charge in

a timely fashion.

A vacation week may not be sold, rented, exchanged or

given to any third party after such accommodations have been deposited

with the Exchange Program, while II is attempting to fulfill an exchange

request, or after II has issued a Confirmation. Additionally, if the Vacation

Interest is sold, rented, exchanged or given to any third party after such

accommodations have been deposited, while an exchange request is pending

with II, or after II has issued a Confirmation into a week, such sale must be

subject to II’s exclusive right to use the week deposited (Deposit First) or

relinquished (Request First) in the Exchange Program. Any action in

contravention of the foregoing will subject the Club Program Member or

Individual Member to an administrative fee. Additionally, such Club Program

Member or Individual Member will be responsible for all liabilities incurred

by II in connection with such double use of such accommodations. The Club

Program Member’s or Individual Member’s membership privileges with II

will be suspended (without further obligation by II) until such time as all

amounts owed to II have been paid in full.

16.

In addition to the priorities noted above in Week-Based Exchange

Method, Paragraph 9, priority in the exchange confirmation process is

provided as follows:

(a)

Club Program Members and Individual Members are afforded a

priority over Other II Members when requesting an exchange to MVCI

Resorts and other Member Resorts that are owned, marketed, and/or

managed in common with the MVCI Resorts.

(b)

Individual Members requesting an exchange to the MVCI Resort

at which they own a Vacation Interest will receive priority over Club

Program Members and other Individual Members who do not own a

Vacation Interest at such MVCI Resort.

(c)

Other II Members are afforded a priority when requesting an

exchange to Member Resorts that are owned, or in certain instances

branded, marketed, and/or managed in common with the Other II

Member’s home resort.

(d)

Other II Members who own a Vacation Interest at a Member

Resort located in certain geographic regions, including, but not limited to

Australia, New Zealand, and/or South Africa will receive priority when

requesting an exchange to other Member Resorts that are located in the

same geographic region as the Member’s home resort.

MARRIOTT VACATION CLUB INTERNAL EXCHANGE PROCEDURES

AND PRIORITIES

1. For all Club Program Trust Members and all Club Program Exchange

Members requesting exchange services based on the relinquishment of

Points, the Club Program Manager will be solely responsible for the

performance of exchanges into the MVCI Resorts. Where a requested

internal exchange cannot be confirmed through inventory available in the

MVC Destinations Program, the Club Program Manager may submit

internal exchange requests through II and, where the necessary inventory is

or becomes available in the Exchange Program, II will issue the Confirmation

to the Club Program Manager, who in turn will issue such Confirmation to

the applicable Club Program Member.

2. For those Club Program Exchange Members choosing to relinquish a

Week(s) and all Individual Members, exchanges into MVCI Resorts will be

performed by II in accordance with the terms and conditions of this Section.

The procedures set forth herein are applicable only when all resorts

requested for exchange by a Club Program Exchange Member or Individual

Member are MVCI Resorts.

3. To place a valid exchange request for use of accommodations at MVCI

Resorts only, a minimum of one MVCI Resort and one time period (in

one-week increments) must be requested. Additional MVCI Resorts and time

periods may be specified and a Club Program Exchange Member or Individual

Member may be confirmed into any listed resort for any Week specified.

4. Club Program Exchange Members choosing to relinquish a Week and

Individual Members requesting an exchange only to a MVCI Resort may

use either the Deposit First or Request First exchange method as set forth

above, whereby all terms and conditions of the respective method chosen

will apply, except that the Club Program Exchange Member will not be

obligated to pay an exchange fee. In such instance, the appropriate Marriott

Vacation Club Internal Exchange Fee will be paid by the Club Program

Manager on behalf of each Club Program Exchange Member. Individual

Members will be obligated to remit the appropriate Marriott Vacation Club

Internal Exchange Fee to II on their own behalf.

Any exchange request

submitted which contains both MVCI Resorts and other Member Resorts

must be submitted in accordance with the other terms and conditions set

forth in this guide, including payment of the standard applicable exchange

fee in accordance with Fees, Paragraph 6 below. In the event such request is

ultimately confirmed to a MVCI Resort, no portion of the fee paid to II will

be refunded.

5.

Marriott Vacation Club Internal Exchange Option.

In addition to

being able to request an internal exchange to a MVCI Resort using either

the Deposit First or Request First exchange method, a Club Program

Exchange Member choosing to relinquish a Week or Individual Member

may select a third type of exchange method available only to Club Program

Exchange Members choosing to relinquish a Week(s) and Individual

Members (the “Special Marriott Vacation Club Internal Exchange Option”).

The applicable Club Program Exchange Member or Individual Member

must select from the Deposit First, Request First, or Special Marriott

Vacation Club Internal Exchange Option exchange methods at the time of

initiating a Marriott Vacation Club Internal Exchange request.

The Special

Marriott Vacation Club Internal Exchange Option may be used where a

Club Program Exchange Member or Individual Member places an exchange

request at least 75 days prior to the commencement date of his or her Week

and requests travel dates that fall after his or her assigned Week. The use of

the Special Marriott Vacation Club Internal Exchange Option will be governed

by the terms set forth in this Paragraph 5. If a Club Program Exchange Member

or Individual Member selects the Special Marriott Vacation Club Internal

Exchange Option and II does not issue a Confirmation from 12 months to at

least 75 days prior to the commencement date of the member’s assigned

Week, such Club Program Exchange Member or Individual Member has the

following options:

(a) The Club Program Exchange Member or Individual Member may

request that his or her assigned Week be automatically returned to him or

her for his or her own use and that II cancel the pending exchange request.

(b) The Club Program Exchange Member or Individual Member may

request that II continue processing his or her exchange request and that the

assigned Week be deposited with II.

If this option is chosen, all rights to

occupy the assigned Week are relinquished by the Club Program Exchange

Member or Individual Member and assigned to II 75 days prior to the

commencement date of the deposited Week, irrespective of whether II

ultimately confirms the pending exchange request.

In the event such

request is not ultimately confirmed by II, such Club Program Exchange

Member’s or Individual Member’s deposit will be governed by the terms

and conditions of the Deposit First exchange method as set forth under

Week-Based Exchange Methods above.
