prerecorded messages. If any telephone number provided by a Club Program
Member or Individual Member as part of his or her membership record is a
cellular telephone number, such member expressly consents to II’s use of such
cellular telephone number for all purposes and methods as set forth herein.
14. Club Program Members and Individual Members acknowledge and
agree that, to the extent allowed by applicable law, II and/or MORI may
upon occasion offer various products and services relating to individual
membership benefits, including exchange and travel-related benefits through
electronic messaging, and Club Program Members and Individual Members
consent to such electronic solicitation.
15. The terms and conditions of membership with II and use of the
Exchange Program shall be construed under the laws of the State of Florida.
By maintaining membership in II, Club Program Members and Individual
Members consent to the exclusive subject matter and personal jurisdiction
of the courts in Miami-Dade County, Florida. In the event of litigation
between the parties, the prevailing party shall be entitled to all costs
incurred, including reasonable attorneys’ fees.
16. These Terms and Conditions of Individual Membership and Exchange,
including any fees associated therewith, may be changed by II at its sole
discretion. Except where expressly noted otherwise, Club Program Members
and Individual Members will be advised of any such changes through II’s
regular publications or through II’s website, IntervalWorld.com.
Points-Based Exchange Method
(applicable to all Club Program Trust
Members and those Club Program Exchange Members choosing to continue
to receive their exchange benefits based on the relinquishment of Points)
1.
These Club Program Members utilize an exchange method, often
referred to as Request First, whereby they do not give up their Points until
an exchange has been confirmed.
2.
Other than exchanges made through the Flexchange program,
exchange requests must be received by II at least 60 days in advance of the
commencement date of the week requested.
An exchange fee, plus the
applicable tax, is required when placing an exchange request for a Member
Resort, other than a MVCI Resort.
3. Points
(a)
For a Confirmation to be issued, the following Points are required
based on the exchange accommodations being requested:

When a Club Program Member places an exchange request, Points
required for the highest-valued accommodations are placed on hold in such
Club Program Member’s Points account and will not be available for use
within the MVC Destinations Program or otherwise during the pendency of
such exchange request.
(b) Once a Confirmation has been issued, the Club Program Member
will be deemed to have used the number of his or her Points applicable to
such Confirmation and such Points will no longer be available to that Club
Program Member, unless the Confirmation is canceled in accordance with II’s
Exchange Cancellation Policy, as described below in General Exchange
Procedures and Priorities, Paragraph 9.
(c) Where a given exchange request is not confirmed, the Points will be
released to the Club Program Member’s account.
4. Use of the Deposit First method, as explained in more detail in
Week-Based Exchange Method, Paragraph 3 below, is not available to Club
Program Members relinquishing Points, as II does not currently accept the
deposit of Points.
Week-Based Exchange Method
(applicable to Individual Members as
well as those Club Program Exchange Members who choose to continue to
receive exchange benefits from II based on the relinquishment of a Week).
Where such Club Program Members or Individual Members own a “floating”
Vacation Interest, they must first secure a specific Week for a specific type of
unit at their MVCI Resort prior to submitting an exchange request. The
reservation information must then be submitted to II by MVCI.
1. Club Program Exchange Members seeking an exchange based on the
relinquishment of a Week(s) and Individual Members may utilize the
Request First method described above, whereby they do not give up the
right to occupy their Week until such time as a Confirmation has been
issued. Upon Confirmation, however, all rights to the use of the relinquished
Week(s) are immediately assigned to II.

Other than exchanges made through the Flexchange program,
exchange requests must be received by II at least 60 days in advance of the
commencement date of the Week requested. An exchange fee, plus any
applicable tax, is required when placing an exchange request.
3. As an alternative, these Club Program Exchange Members and Individual
Members may also utilize the Deposit First method, whereby they deposit
the use and occupancy of their Week with II.
When Weeks are deposited, all
rights to their use are immediately assigned to II. Once a deposit is made,
the deposited Week may not be withdrawn.
Submission or confirmation of
an exchange request is not required in order for II to issue a Confirmation
into a deposited Week or otherwise utilize such deposited Week.
4. Under the Deposit First method, deposits must be received by II at least
60 days, but no more than 12 months, before the commencement date of the
deposited Week. Flex Deposits (received by II from 59 days up until 14 days
before the commencement date of the Week being deposited) also are
accepted, but any exchange request placed using the Flex Deposit must be
made through the Flexchange exchange service.
5. No fee is required to deposit vacation accommodations. An exchange
fee, however, is required when placing an exchange request against the
deposited accommodations.

Upon receipt of a deposit, II will assign a deposit number which must be
utilized when placing an exchange request. An exchange may be requested for
the same amount of time as that deposited, except where the applicable Club
Program Exchange Member or Individual Member is requesting a ShortStay
Exchange, as discussed in more detail below in General Exchange Procedures
and Priorities, Paragraph 5. The exchange request may be placed at the
same time that the deposit is made or at any time after receipt of the deposit
number, but no later than 24 months after the commencement date of the
deposited week unless the Club Program Exchange Member or Individual
Member chooses the Deposit Extension Option, as defined in Paragraph 7
immediately below. In addition, the requested travel dates must be no earlier
than 12 months before and no later than 24 months after the commencement
date of the deposited Week. Requests may not be submitted more than
24 months prior to the commencement date of the Week requested.
All normal
exchange procedures (as detailed below) must be adhered to when placing a
request against the deposited Week. If a Flex Deposit was made, a request may
be submitted only through the Flexchange service with travel dates no later
than 24 months after the commencement date of the deposited Week.
7. By using the Deposit Extension Option, Club Program Exchange
Members and Individual Members may, upon the payment of an additional
fee, extend the period in which they can request an exchange based on a
particular deposited week (“Redemption Window”) for a period of up to one
year. II reserves the right to limit the number of times a particular deposit
may be extended. The Deposit Extension Option must be exercised within
three months of the date on which the original Redemption Window expired.
The extension begins on the date on which the original Redemption Window
expired. An exchange request placed within an extended RedemptionWindow
must be placed through II’s Flexchange service.
The Deposit Extension
Option may not be used to extend an E-Plus Usage Window or a retrade
of a Confirmation using E-Plus, or to extend the period within which Club
Program Exchange Members and Individual Members may request
substitute accommodations pursuant to II’s Exchange Cancellation Policy, or
the period within which Club Program Exchange Members and Individual
Members may request accommodations pursuant to the redemption of an
accommodations certificate. All other terms and conditions of exchange
apply to this special service, except where expressly noted to the contrary.
8. The Exchange Program is based upon the “Comparable Exchange”
concept. Comparable Exchange attempts to parallel, to the greatest extent
possible, the supply of and demand for the Week relinquished with the
demand/supply for the Week being requested in exchange. Comparable
Exchange also attempts to ensure that Club Program Exchange Members
and Individual Members relinquishing a Week to the Exchange Program are
confirmed, whenever possible, to resorts that are comparable in quality to the
Week relinquished.
